Bae, Kim & Lee’s finance practice group represents commercial banks, insurance companies, investment banks, private equity funds, leveraged buyout sponsors and borrowers in a wide range of financing transactions. These transactions include secured and unsecured syndicated loans, leveraged finance, acquisition finance, project finance, aircraft and ship finance, and derivatives.
In connection with many of the M&A transactions in which our firm has played a role, our finance team has concurrently advised the purchaser in the financing of the transaction. In these transactions, high leverage is a key element especially where we are advising private equity funds. We represented the borrowers in the financing of the leveraged buyouts of Faceshop, Himart, Haitai Confectionary, WiniaMando and Mando Corporation. We also represented the lenders in the financing of the acquisition of Ssangyong Motor and the system IC business of Hynix Semiconductor.
We also represent developers, underwriters and commercial banks in a wide variety of project financing transactions. We advised the developer in the US$1.5 billion financing of the New Songdo City development project in Incheon. On many occasions, the practice group has represented banks in their financing of power plants and other projects in the energy sector, including the financing for the steam supply and power generation plant for LG Power, LNG combined generation plant for LG Energy, wind power generation plants for Unison and a solar power generation plant for Solar & Park.
BKL’s finance team is regularly retained by lenders and borrowers to handle financing of aircraft, vessels and equipment. Recently, we represented the lenders in the BBCHP ship financing purchase of LNG vessels by Hyundai Merchant Marine and Ro-Ro vessel by Eukor Car Carriers Inc., the refinancing of LNG vessels by Korea Gas Corporation and lease financing relating to aircraft purchases by Korean Air.
Financial derivatives also form a regular part of our banking practice. We have assisted a number of our bank clients and other financial institutions, such as JP Morgan Chase Bank, Macquarie Bank, Citibank Korea, and Korea Life Insurance, and major domestic companies, such as Paradise Group and GS Caltex Corporation, in structuring and documenting a diverse array of financial products, from the basic futures contract to the more sophisticated currency and commodity-linked swaps, total return swaps and credit linked notes.
In the course of the group’s extensive cross-border work over the past decades, they have collaborated with law firms in the U.S., Europe, Japan, Australia and other countries, and they enjoy excellent working relationships with many leading practitioners outside Korea.
