The Act will bring about notable changes in the current corporate disclosure system as summarized below:   

• More types of securities or investment products will be required to be disclosed under the Act at the time of issuance, such as funds and investment agreement securities.  The Act will also require issuers to deliver a prospectus to every investor before the investor purchases or the issuer sells the securities with respect to which the registration statement has become effective;

• A broader range of companies will be required to submit a business report and more information will have to be disclosed in consolidated business reports than is currently required; and

• The 5% or 10% shareholding reports will be required to be filed by a broader range of entities and in more instances than under the current Securities and Exchange Act.  The base date for the 5% or 10% shareholding reports, which determines the deadline for the filing the report will be changed as well.

In an attempt to establish the duties and legal responsibilities of online service providers, particularly duties related to providing technical protective measures, Korean courts have heard a series of cases, mainly related to P2P technology, brought by the music industry. In each case, the decision reflected the then-current internet environment to provide the
best solution available at the time, which would be adopted in the amendments and revisions in the Korean copyright and neighboring laws. However, it seems the law was never able to fully catch up with the evolution of the internet business, developments in the disseminated contents and new generation of internet users, so that there are still unresolved issues, particularly related to the legal duties imposed on online service
providers. The relevant legislation consists principally of the Monopoly Regulation and Fair Trade Act (MRFTA), which was first enacted in 1980 and has undergone 36 amendments. Additional legal authority is found in the Enforcement Decree promulgated pursuant to the MRFTA, as well as the guidelines and standards issued pursuant thereto. Enforcement

Following a request from the US for supplemental discussions, additional terms were discussed and entered on June 30 2007. Currently, both nations are waiting for the US Congress and the Korean National Assembly to ratify the KORUS FTA. In the agreement, many topics related to intellectual property (IP) were included and a significant portion of the Korean IP law is expected to undergo reconstruction. The Korean government has already developed a new proposal and presented it to the National Assembly for review. The principal sources of law and regulation relating to employment relationships in Korea are the Constitution, the Labour Standards Act and other statutes, individual employment contracts, collective bargaining agreements and employer work regulations. 
Of pervasive significance in employment law is the Labour Standards Act, which stipulates minimum standards for a wide range of work conditions. These standards will supersede any contrary provision – that is, any provision that is inferior from the employee’s point of view – of an employment contract, collective bargaining agreement or work regulation. Generally speaking, in case of inconsistency between any two of the sources of employment regulation, usually that source whose provisions work to the greater advantage of the employee will ‘trump’ the other. 
Following is a summary of each of the key sources of regulation.

Constitution
The Constitution of Korea enshrines some basic principles of employment. Article 32 provides that all citizens ‘have the right to work’, and contemplates legislation of minimum wages and working conditions ‘to ensure human dignity’. Article 32 also forbids gender discrimination in employment and work conditions, but allows for ‘special protection’ for working minors.

Labour Standards Act
The central piece of legislation, the Labour Standards Act (together with the related ‘presidential enforcement decree’, or implementing regulation, the LSA) prescribes minimum conditions of work, including work hours, overtime pay, vacation and other paid leave, severance, and other allowances and benefits. The LSA applies to every employer that continuously employs five or more employees, including foreign employers with five or more employees at any office or ‘workplace’ in Korea. (Certain provisions of the LSA also apply to smaller companies). The LSA standards will supersede any contractual terms that are, for the employee, inferior. Violations of certain LSA provisions involve criminal sanctions.
